To analyse, structure, negotiate, execute and monitor direct equity and quasi-equity operations under the European Innovation Council (EIC) Fund following special procedures and reporting standards. Provide operational support in transaction portfolio management in areas such as performance monitoring, reporting and workflow management.

Operating Network:

As a (Associate) Investment Officer, internally referred to as (Associate) Officer Lending Operations, you will be expected to work under guidance of the senior officers in the Unit in managing all aspects of the investment activity, liaising with the EIC unit members and will report to the Head of Unit.  You will collaborate, whenever required, with colleagues in the Division, as well as in other teams of the Bank involved in such transactions (e.g. with Legal Services, Risk Management, and the technical Projects Directorate). For equity operations deployed through special purpose vehicles, you will also need to follow procedures outside of the EIB standards and reporting systems. Over time, you will be expected to take full autonomy in management in the investment process.

Accountabilities:

Origination and business development:

  • Analyse and execute individual equity and quasi-equity operations with small and medium-sized companies within EU 27 and Horizon Europe associated countries
  • Cooperate with venture capital and private equity funds, industrial investors (incl CVCs), family offices, private investors, financial advisors, sector/industry associations and other stakeholders of the EIC Fund and EIC Accelerator Programme
  • Monitor closely his/her respective sectors and geographical coverage
  • Represent EIB at conferences and help to organise promotional events

Investment process:

  • For equity operations under EIC Fund, take responsibility and support senior officers in the Unit in the appraisal process and execution of equity and quasi-equity operations independently from EIB standard practice, in line with specifically agreed procedures and templates
  • Undertake financial and commercial due diligence, draft investment recommendations and other relevant approval documents in cooperation with the relevant external stakeholders, and internal services if applicable, and facilitate the approval process
  • Liaising with the senior officers in the Unit, develop deal structures and negotiate term sheets for initial and follow-on investments as well as manage the contract negotiation process with the clients, legal advisors, co-investors, and other relevant third party services providers as applicable
  • Support in negotiation of additional documentation such as shareholder agreements, subscription agreements and other relevant documentation related to the investment as may vary from case-by-case with external counsels

Disbursement and monitoring process:

  • Manage the fulfilment of applicable conditions precedents and coordinate disbursements in line with the established procedures in the EIC Fund
  • Follow -up the development of the transactions: update files, check the fulfilment of conditions precedent, maintain up-to-date reporting information etc. Proactively manage the portfolio of investment in his/her responsibility
  • Maintain communications and cooperation with his/her personal portfolio companies through periodical and ad hoc status updates, and, where applicable, through representing the EIC Fund vis-à-vis the investee companies in its constitutional bodies such as shareholders’ and board meetings in accordance with the EIB internal guidelines
  • Actively manage any post-investment requests and events from the companies in his/her portfolio, including exists, in line with the applicable procedures and decision-making policies of the EIC Fund
  • In the event of contractual modifications and other post-investment events (e.g. loan conversions), provide timely support for structural modifications and contract negotiations in liaison with key external stakeholders in order to maintain the quality of the investment portfolio
  • Provide periodic valuations on existing operations in his/her portfolio in line with the established valuation policy of the EIC Fund.

Qualifications:

  • University degree (Master’s level or higher) in Finance/Business, Engineering or any related subject.
  • At least 3 years of relevant experience in the financial sector and in investment activity, preferably in venture capital/debt, private equity, High Yield/Sub -Investment Grade Debt and/or Mezzanine Financing.
  • Strong technical expertise in financial analysis/modelling/valuation and experience in wider company due diligence processes.
  • Good computer skills and knowledge of Microsoft Office as well as other relevant applications and financial databases;
  • Excellent knowledge of English and/or French (*) with a good knowledge of the other. Fluency in other EU languages would be a distinct advantage
